4. DELIVERY

4.1. The product subject to the Contract shall be delivered to the Buyer or to a third party or organization designated by the Buyer, depending on the distance of the Buyer's place of residence, within the period specified in the preliminary information and in any event not exceeding 30 (thirty) days for each product, as legally required. Any failure by the Seller to comply with this obligation shall entitle the Buyer to terminate the Contract for just cause. In the event of such termination, if any amount has been collected from the Buyer by the Seller upon conclusion of this Contract, the Seller shall be obliged to refund such amount to the consumer, including delivery costs and together with any statutory interest required under the applicable legislation, within no later than 3 business days from the date on which the notice of termination reaches the Seller.

4.2. If the product subject to the Contract is to be delivered to a third party or organization other than the Buyer, the Seller shall not be held responsible if such third party or organization, which is not a party to the Contract, refuses to accept the product.

4.3. Payment must be made upon the conclusion of this Contract in order for the procurement and delivery procedures concerning the product subject to the Contract to commence. If the price of the product subject to the Contract is not paid, or if the payment is subsequently cancelled through various channels, the Seller's obligation to procure and deliver the product shall immediately cease and the Contract shall be deemed automatically terminated.

4.4. If the procurement and delivery of the product subject to the Contract becomes impossible, the Buyer shall be notified of the relevant matter in writing. If the Buyer terminates the Contract for this reason, the Seller shall be obliged to refund to the Buyer, within no later than 3 business days from the date on which the notice of termination reaches the Seller, all amounts received, including shipping costs incurred for the conclusion of this Contract.

4.5. The Seller shall be responsible for the product until it is delivered to the Buyer or to a third party designated by the Buyer. However, if the Buyer wishes to select a carrier other than the carrier designated by the Seller for delivery of the product, the Seller shall be released from responsibility upon handing over the product to the carrier selected by the Buyer. Upon delivery of the product to the carrier designated by the Buyer, responsibility for the product shall be deemed to have passed to the Buyer.

5. RIGHT OF WITHDRAWAL

Pursuant to the provisions of Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts;

5.1. In distance contracts concerning the sale of goods, the Consumer shall have the right to withdraw from the Contract within 14 (fourteen) days from the date of delivery of the goods, without providing any reason and without paying any contractual penalty.

5.2. The notice of withdrawal may be submitted in writing to info@grentia.com. In addition, the Buyer may exercise the right of withdrawal under the same conditions during the period between the conclusion of the Contract and delivery of the product. The notice regarding the exercise of the right of withdrawal must be made in writing, and the burden of proving that such notice has been submitted shall rest with the Consumer.

5.3. If the Buyer exercises the right of withdrawal, the original invoice relating to the goods/services delivered to the third party or the Buyer must be returned to the Seller.

5.4. The provisions of Law No. 6502 and the Regulation on Distance Contracts shall apply in determining the withdrawal period. Accordingly;

For products that are subject to a single order but are delivered separately, the date on which the Consumer or a third party designated by the Consumer receives the final product shall be taken as the basis. For products consisting of multiple parts, the date on which the Consumer or a third party designated by the Consumer receives the final part shall be taken as the basis.

5.5. The circumstances in which the Consumer may not exercise the right of withdrawal are as follows:

Products prepared in accordance with the Consumer's requests or personal needs; products presented in a material form where protective elements such as packaging, tape, seals or packages have been opened after delivery of the goods; and products classified as periodical publications such as newspapers and magazines, except those provided under a subscription agreement.

5.6. If the Consumer exercises the right of withdrawal and submits such notice to the Seller, the Seller shall be obliged to refund all amounts collected for the product, including costs, within 3 business days from the date on which the written notice reaches the Seller.

5.7. If the Consumer returns the product within the withdrawal period, the Consumer shall not be responsible for any changes or deterioration resulting from the use of the product, provided that the product has been used in accordance with its operation, technical specifications and instructions for use. However, if any damage or defect occurs to the product due to use contrary to its normal intended use or failure to comply with the instructions for use, the Seller shall have no obligation to accept the return or replacement of the product.

5.8. If the Consumer returns the goods through the carrier specified by the Seller in the Preliminary Information Form after exercising the right of withdrawal, the Consumer shall not be required to pay any return-related costs. However, if the goods are returned through a carrier other than the one specified in the Preliminary Information Form, the shipping costs shall be borne by the Buyer. If no carrier is specified for returns in the Preliminary Information Form, the carrier used for delivery of the product shall also be deemed to be the carrier designated for the return. However, if the relevant carrier does not have a branch at the Buyer's location, no return cost may be charged to the Buyer.

5.9. The Consumer must return the product to the Seller's address specified in Article 1 no later than ten (10) days from the date on which the Consumer exercises the right of withdrawal. For products not dispatched within this period or dispatched after this period, the Buyer shall be deemed to have waived the return request, and the return request shall not be accepted. However, this provision shall not apply if the Seller has declared that it will collect the product itself.

6. COMPLAINTS AND RESOLUTION PROCEDURE

The Buyer may submit any complaint concerning the goods subject to the sale to the Seller at the address specified above. Complaints submitted to the Seller shall be reviewed by the authorized departments designated by the Seller, and a response shall be provided to the Buyer within a reasonable period of time.

7. FINAL PROVISIONS

7.1. Before accepting delivery, the Consumer must inspect the goods and should not accept defective or damaged goods from the courier company representative. The Buyer shall be deemed to have accepted that the product received from the courier company is in sound and undamaged condition.

7.2. The Seller reserves the right to suspend or cancel an order, provided that the Buyer is informed, if the Seller determines that the information relating to the order is incomplete, fraudulent or incorrect, or if it is determined or reasonably suspected that the order has been placed contrary to good faith and/or for the purpose of obtaining commercial gain. If the order is cancelled, the payment shall be refunded to the Buyer upon notification.

7.3. Due to force majeure events occurring beyond the Seller's control, which could not reasonably have been foreseen and which prevent or delay the Seller from fulfilling its obligations, delivery of the product may not take place within the specified delivery period. In such cases, the Seller undertakes to inform the Buyer. In such circumstances, the Buyer shall have the right to request cancellation of the order, replacement of the product subject to the order with an equivalent product and/or postponement of delivery until the circumstances preventing delivery within the specified period cease to exist.

7.4. Payment of the sales price for delivery of the product subject to the Contract through the payment method selected by the Buyer is mandatory. If, for any reason, the price of the product is not paid or is cancelled in the bank records, the Seller shall be deemed released from its obligation to deliver the product. If the price of a product that has been delivered is not paid to the Seller for any reason, the Buyer shall be obliged to return the product to the Seller's address specified above within 7 days.

8. COMPETENT AND AUTHORIZED COURT

Any complaints and objections arising from the implementation of this Contract shall be submitted, depending on the monetary limits determined each year in December by the Ministry of Customs and Trade, to the Consumer Arbitration Committee located at the Buyer's place of residence or at the place where the goods were purchased. Where the monetary threshold falls within the jurisdiction of the Consumer Courts, an application shall be made to the competent Consumer Court.

The Buyer acknowledges and undertakes that, pursuant to Article 48 of Law No. 6502, the Buyer has read and obtained information regarding the preliminary information and has provided the necessary confirmation electronically.

This period may be agreed upon as up to 14 days in accordance with the law.

In such a case, the Buyer must be notified in writing within 3 days from the date on which the relevant circumstance becomes known.

The impossibility of performance must be notified in writing within 3 days; refunds may be made within 14 days.

All Sellers are obliged to act in accordance with this regulation. In the event of withdrawal, the fact that all shipping costs and bank collection costs are borne by the Seller is a consequence of this regulation.

The law limits the refund period to 14 days. The 3-business-day provision is compliant with the law; however, extending it to 14 days would be more favorable.

This provision complies with the applicable legislation, and it is not legally possible to impose any of these obligations on the Consumer.

The Law and Regulation require this arrangement.

If no carrier is designated for returns in the Preliminary Information Form, return costs may not be charged. (Art. 12.3.2)

If a specific hotline or resolution procedure is established for complaints, this should be specifically stated in this section. If it is intended to create a section on the website concerning complaints, information regarding the relevant link must also be provided.

In such a case, the period and conditions for refunds in advance payments should be specified.

Upon delivery of the product to the carrier designated by the Buyer, responsibility for the product shall be deemed to have passed to the Buyer.

ARTICLE 6 – RIGHT OF WITHDRAWAL

Pursuant to the provisions of Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts;

6.1. In distance contracts concerning the sale of goods, the Consumer shall have the right to withdraw from the Contract within 14 (fourteen) days from the date of delivery of the goods, without providing any reason and without paying any contractual penalty.

6.3. If the Buyer exercises the right of withdrawal, the original invoice relating to the goods/services delivered to the third party or the Buyer must be returned to the Seller. If the invoice is not sent together with the product to the Seller's address specified in Article 1, the VAT and, where applicable, other statutory obligations cannot be refunded to the Buyer. The Buyer shall write the statement "This is a return invoice" on the invoice accompanying the product being returned under this right and shall sign it.

6.4. The provisions of Law No. 6502 and the Regulation on Distance Contracts shall apply in determining the withdrawal period. Accordingly, for products that are subject to a single order but are delivered separately, the date on which the Consumer or a third party designated by the Consumer receives the final product shall be taken as the basis. For products consisting of multiple parts, the date on which the Consumer or a third party designated by the Consumer receives the final part shall be taken as the basis.

6.6. If the Consumer exercises the right of withdrawal and submits such notice to the Seller, the Seller shall be obliged to refund all amounts collected for the product, including costs, within 3 business days from the date on which the written notice reaches the Seller.

6.9. The Consumer must return the product to the Seller no later than ten (10) days from the date on which the Consumer exercises the right of withdrawal. For products not dispatched within this period or dispatched after this period, the Buyer shall be deemed to have waived the return request, and the return request shall not be accepted. However, this provision shall not apply if the Seller has declared that it will collect the product itself.

ARTICLE 7 – DEFECTIVE GOODS

7.1. Defective goods are goods that, at the time of delivery to the Consumer, do not conform to the sample or model agreed upon by the parties or do not possess the characteristics that they should objectively possess, and therefore do not comply with the Contract. Goods that do not possess one or more of the characteristics stated on their packaging, label, instructions for use, online portal, advertisements or announcements; that do not conform to the characteristics notified by the Seller or specified in technical regulations; that do not fulfill the intended purpose of equivalent goods; or that contain material, legal or economic deficiencies that reduce or eliminate the benefits reasonably expected by the Consumer shall also be considered defective.

7.2. In such cases, the Consumer shall have the right to rescind the Contract, including requesting a refund of the purchase price, to request replacement of the goods with an identical non-defective product, to request a reduction in the purchase price in proportion to the defect, or to request free repair. The Seller shall be obliged to fulfill the remedy selected by the Consumer.

7.3. If the Consumer was aware of the defect at the time the Contract was concluded or could reasonably be expected to have been aware of it, there shall be no breach of the Contract in this respect. The Consumer's statutory optional rights against defects other than these shall remain reserved.

ARTICLE 8 – FINAL PROVISIONS

8.1. The BUYER declares that the Buyer has read and obtained accurate and complete information regarding the preliminary information available on the website (www.grentia.com) concerning the basic characteristics of the product subject to the Contract, its sales price including all taxes, the payment method, delivery and the fact that delivery costs shall be borne by the Buyer, the delivery period, and the Seller's full legal company name, full address and contact details, and has provided the necessary confirmation electronically. The Preliminary Information Form available on www.grentia.com and the invoice relating to the sale constitute annexes and integral parts of this Contract.

8.2. The Distance Sales Contract concluded with the Buyer shall be stored electronically by the Seller for 3 (three) years from the date on which the Contract is concluded. After this Contract has been concluded, the text of the Contract shall be sent to the Buyer's e-mail address.

8.3. The SELLER shall be responsible for delivering the product subject to the Contract in sound and complete condition, in conformity with the specifications stated in the order, together with any warranty certificates and instructions for use, if applicable.

8.4. If the BUYER defaults on the performance of the Buyer's obligations, the BUYER agrees, declares and undertakes to compensate the SELLER for any damages incurred due to the delayed performance, except where such default arising from delayed performance is caused by the fault of the SELLER.

ARTICLE 9 – COMPETENT AND AUTHORIZED COURT

Any complaints and objections arising from the implementation of this Contract shall be submitted, depending on the monetary limits determined each year in December by the Ministry of Customs and Trade, to the Consumer Arbitration Committee located at the Buyer's place of residence or at the place where the goods were purchased. Where the monetary threshold falls within the jurisdiction of the Consumer Courts, an application shall be made to the competent Consumer Court.

In such a case, the reasonable period and conditions for refunds in advance payments should be specified.
